1. The Service and your account
Yven is a tool for freelancers and small web shops to track client assets, sites, services, renewals, and work, and to prepare invoices. It is for business use by people aged 18 or older.
You must give us accurate account information and keep it current. You are responsible for keeping your password confidential and for everything done through your account, so tell us promptly at [email protected] if you suspect unauthorized access. If you use the Service for a business, you confirm you have authority to bind it to these Terms. One person per account; don't share your login.
2. Plans, trials, and payment
- Plans and prices are shown when you sign up and in your account. Prices are in Canadian dollars unless stated, and exclude any taxes we are required to collect.
- Free trial. Where a plan includes a trial, we collect a payment card at sign-up and charge it automatically when the trial ends unless you cancel first.
- Renewal. Paid plans renew automatically each billing period, and we charge your payment method through Stripe until you cancel. You can pause, cancel, or resume your subscription in Settings at any time. Cancelling stops future charges; it doesn't refund the current period.
- Price changes. We'll give you at least 30 days' notice by email before a price change applies to your plan.
- Failed payments. If a payment fails or your subscription ends, your account may become read-only: you can still view and export your data, but not add or change it, until payment is resolved or you resubscribe.
- Refunds. Fees are non-refundable except where the law requires, or where we decide otherwise in a particular case.
3. Your data
You own it. You keep all rights in the information you put into the Service, including your clients' details, your work log, and your invoices ("Your Data"). We claim no ownership of it.
Our permission to handle it. You give us a limited licence to host, copy, process, and display Your Data only as needed to provide and secure the Service for you, as described in our Privacy Policy. In privacy terms, you decide what goes into your account and we process it on your behalf.
Your responsibilities. You confirm that you have the right to enter Your Data, including the personal information of your clients and their contacts, and that doing so complies with the law and your agreements with them. Don't store passwords, keys, payment card numbers, health information, or other sensitive data in the Service; use the credential pointer field to note where something is kept, not the secret itself. If you turn on a shared work log link, anyone with the link can see the entries marked visible, so it is your responsibility to share the link only with the right person and to turn it off when needed.
Getting your data out. You can export Your Data at any time from within the app, including while your account is read-only. We make regular backups to keep the Service running, but they are for our recovery, not a guaranteed archive for you, so keep your own copies of anything important.
When your account ends. If you delete your account, we delete Your Data as described in section 6 of the Privacy Policy.
4. Our intellectual property and feedback
We own the Service, including its software, design, text, logos, and trademarks. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your own internal business purposes while these Terms are in effect. We reserve all other rights.
If you send us suggestions or feedback, you give us a perpetual, worldwide, royalty-free licence to use them for any purpose without compensation or credit to you. You keep ownership of your feedback, and we won't identify you as its source without your permission.
5. Acceptable use
Use the Service lawfully and fairly. You agree not to:
- break the law, or infringe anyone's rights, in connection with the Service or Your Data;
- upload malware, or probe, attack, overload, or interfere with the Service or its security;
- access another user's account or data, or try to bypass our access controls or usage limits;
- copy, resell, rent, or sublicense the Service, or use it to build a competing product;
- reverse engineer or decompile the software, except where the law allows it;
- scrape or extract data from the Service by automated means, other than through any API or export we provide;
- use the Service to send spam or unlawful content; or
- use the Service to harass or threaten anyone, including our staff.
6. Third-party services and integrations
The Service works with third-party services, such as Stripe, QuickBooks, FreshBooks, and Slack, and links to others. When you connect one, you authorize us to exchange data with it on your behalf, and your use of it is governed by that provider's terms, not ours. We aren't responsible for third-party services, and you can disconnect them at any time. Domain expiry dates come from public registry records and may be incomplete or out of date, so confirm anything important with your registrar.
7. Suspension and termination
By you. You can cancel your subscription or delete your account in Settings at any time.
By us. We may suspend or end your access if you breach these Terms, if your use creates a security risk or legal exposure, if payment fails and isn't resolved, or if we discontinue the Service. Where reasonable, we'll tell you why and give you a chance to fix the problem first, but we may act immediately for serious abuse or to protect the Service or other users. If we end your account for reasons other than your breach, we'll give you reasonable notice and a chance to export Your Data.
After termination. Your right to use the Service ends. Sections that by their nature should survive (including 3, 4, 9 to 13) will survive.
8. Changes to the Service and these Terms
We may change, add, or remove features as the Service evolves. If we make a material change to these Terms, we'll give you at least 30 days' notice by email or in the app before it takes effect. If you don't agree, you can cancel before then; continued use afterwards means you accept the updated Terms.
9. Availability and disclaimer
We work to keep the Service available and secure, but we don't promise it will be uninterrupted or error-free, and we don't offer a service-level guarantee unless we agree one with you in writing.
TO THE FULLEST EXTENT THE LAW ALLOWS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", AND WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE SERVICE IS A RECORD-KEEPING TOOL, NOT LEGAL, TAX, OR ACCOUNTING ADVICE, AND YOU ARE RESPONSIBLE FOR CHECKING INVOICES, RENEWAL DATES, AND OTHER OUTPUT BEFORE RELYING ON THEM.
10. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, WE WON'T BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR GOODWILL, OR FOR LOSS OF OR DAMAGE TO DATA, EVEN IF WE WERE ADVISED THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR CAD $100 IF YOU HAVE PAID NOTHING.
Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud or intentional misconduct. Some jurisdictions don't allow certain limitations, so some of the above may not apply to you, and you may have additional rights.
11. Indemnification
You will defend and indemnify us against third-party claims, and the resulting losses and reasonable legal fees, arising from Your Data (including your right to enter it), your breach of these Terms, or your violation of the law or another person's rights. We'll tell you promptly about any such claim, and you may not settle one in a way that imposes obligations on us without our consent.
12. Governing law and disputes
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada that apply there, without regard to conflict-of-laws rules.
Before starting any formal proceeding, each of us will first try to resolve a dispute informally. Send written notice to the other and allow at least thirty (30) days to negotiate. If that fails, the dispute will be finally resolved by arbitration under the UNCITRAL Arbitration Rules in force at the time, before one arbitrator, seated in Port Coquitlam, British Columbia, in English. To the extent the law allows, disputes are resolved individually, not as a class or representative action.
Either of us may go to court in British Columbia, which has exclusive jurisdiction for this purpose, to enforce or protect intellectual property rights or to seek urgent injunctive relief, and to enforce an arbitral award. Where a law of your location gives you a right to bring a claim in your local courts that these Terms can't override, that right is unaffected.
13. General
These Terms, together with the Privacy Policy and any plan details shown at sign-up, are the entire agreement between us about the Service. If a part is unenforceable, the rest stays in effect. Not enforcing a right isn't a waiver of it. You may not transfer your rights under these Terms without our consent; we may assign ours, including in a merger or sale of the business. Neither of us is liable for delays or failures caused by events beyond our reasonable control. We may give you notices by email or through the Service, and you agree that electronic notices and agreements satisfy any requirement that they be in writing. Nothing here creates a partnership, agency, or employment relationship.
